Eligible members are invited to attend an Extraordinary General Meeting (EGM) of St Austell RFC Ltd called for Wednesday, 12 February 2025.

Please find attached your invitation to an Extraordinary General Meeting (EGM) of St Austell RFC Ltd called for Wednesday, 12 February 2025.

Please find below some context on why the EGM is being called and its importance to St Austell RFC.

In 2023, the Executive Committee St Austell RFC were approached by a not-for-profit organisation called Graduately Developing Futures and Consultancy Ltd (GDF) to explore the potential of creating a “special needs” educational facility on the Tregorrick site.

GDF is a national training provider that specialises in working with children with additional needs including SEND, Autism, ADHD, mental health difficulties and/or challenging behaviours.

GDF want to set up a facility for Cornish primary school children who need additional educational support. At the moment there are no facilities offering this type of specialist support in Cornwall and they have identified St Austell as an ideal location and St Austell RFC as a suitable partner for this initiative.

Following an initial phase of due diligence, we have spent the last 12 months in discussions with GDF to understand their operating model and what it means to St Austell RFC.
We now have a proposal from GDF to purchase 1.7 acres of unused land located below Pitch 3 to GDF (see the satellite image in Appendix One of the attached Invitation and Agenda). The steep slope and triangular shape of the plot makes it unusable for rugby purposes.

The potential benefits from the proposal include:

  • An initial one-off sum for the purchase of the land.
  • An annual income from GDF based on the number of children using the facility and the turnover generated.
  • St Austell RFC would be supporting the educational needs of the Cornish community.

The proposal has been reviewed by the Executive Committee and the Club’s Trustees and have concluded that GDF’s proposal is credible and worthy of consideration.

We are now in a position to share the details of the proposal with our members and the invitation and Agenda for the EGM are attached. Members will be given the details of the proposal at the meeting and then have the opportunity to ask questions. At the end of the EGM attendees will be asked to vote on whether to accept or reject the proposal from GDF.

Please be aware that this meeting is restricted to eligible voting members as of 31/01/2025, and your participation is crucial in shaping the future of our Club.

Qualifying Membership Categories are:

  • Life
  • VP
  • Senior Player.

The Executive Committee has decided that given the significance of selling a parcel of land to a third party the vote will require 60% or more in favour of the proposal to provide a firm mandate to proceed.
